These terms govern your use of our website and general service inquiries. Signed project proposals define the specific terms for contracted work.

Agreement to terms

By accessing digitalvancouver.ca or submitting a project inquiry, you agree to these Terms of Service. If you do not agree, please do not use our website or services.

These terms apply to website use and general service inquiries. Specific project work is governed by a separate written proposal or statement of work signed by both parties.

Services

Digital Vancouver provides web design, software development, business automation, AI integration, hosting, and related technology services to businesses in British Columbia and elsewhere.

Descriptions on our website are for general information. Final scope, deliverables, timelines, and pricing are defined only in a signed proposal or statement of work.

Project inquiries and proposals

Submitting a project form or contact request does not create a binding contract. We will review your submission and may follow up with questions or a fixed-price proposal.

A project begins only after you accept a written proposal and any required deposit or onboarding steps are completed.

Client responsibilities

To deliver work efficiently, clients agree to:

  • Provide accurate project information and timely feedback.
  • Supply content, credentials, brand assets, and approvals within agreed timelines.
  • Ensure they have rights to any materials they provide for use in the project.
  • Maintain confidentiality of any access credentials we share for staging or production environments.

Intellectual property

Unless otherwise stated in a signed agreement, upon full payment for a project we assign to you the rights to custom work product created specifically for your project — such as custom designs, code, and content we develop for you.

We retain rights to our pre-existing tools, frameworks, libraries, methodologies, and general know-how. We may showcase completed work in our portfolio unless you request otherwise in writing.

Payment and refunds

Payment terms are specified in each proposal. Unless otherwise agreed, invoices are due on the dates stated in the proposal.

Because our work is custom and labor-based, fees for completed milestones or delivered work are generally non-refundable. If you cancel a project before completion, you remain responsible for work performed and expenses incurred to date.

Warranties and disclaimers

Our website and general marketing materials are provided "as is" without warranties of any kind. For contracted work, any warranties are limited to those expressly stated in your signed proposal.

We do not guarantee specific business outcomes such as search rankings, revenue, or lead volume. Third-party platforms, APIs, and hosting providers are subject to their own terms and availability.

Limitation of liability

To the fullest extent permitted by law, our total liability arising from website use or services is limited to the fees paid to us for the specific project giving rise to the claim in the twelve months before the event.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data, except where such limitation is prohibited by law.

Acceptable use

You agree not to:

  • Use our website to transmit unlawful, harmful, or abusive content.
  • Attempt to gain unauthorized access to our systems or client areas.
  • Interfere with the security or performance of our website or services.
  • Misrepresent your identity or affiliation when submitting inquiries.

Account access

Client sign-in features are provided for project tracking and related account functions. You are responsible for maintaining access to the email or phone number used for authentication and for activity under your account.

Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Disputes will be subject to the exclusive jurisdiction of the courts of British Columbia, unless otherwise required by law.

Changes and contact

We may update these Terms from time to time. Continued use of the website after changes constitutes acceptance of the revised terms.
